ever fully use ourselves. We must select the most promising to us as a company
and pursue those. However, this leaves us with an incredible catalog of
intellectual assets from which others might benefit. If you have identified a Honeywell
technology, which might be valuable to you, we are anxious to explore a mutually

Why does Honeywell license technology it still uses?
Honeywell generally derives the greatest value from its technology by investing
in facilities to manufacture and market products based on that technology. Honeywell
often reinvests in technologies to expand capacity and/or to build new
production lines. However, for numerous reasons, Honeywell may choose to limit
continuing investment in a technology or product line. In order to continue to
generate value from the basic technology and the improvements developed, Honeywell,
despite its continuing use of the technology, may choose to license the
technology to others so they may capitalize on Honeywell's knowledge and invest
in their own manufacturing facilities.

as applied research, the company owns leading edge technology in a wide spectrum

I have seen an interesting listing on your site; how do I proceed?
While viewing the technology you can either request an introduction or ask a question
about the technology by clicking the associated button on the left-hand navigation bar.
When requesting an introduction you will be contacted to verify your contact information.
This information will then be sent to the appropriate contact point at Honeywell. They will review your
request and then contact you for an initial meeting. When asking a question,
the greater the amount of description of your need, the more
likely we will be able to respond to your question quickly.

How much does a license cost?
The price for a license depends on a number of factors starting with a
negotiation of the technology value as seen through the eyes of the licensor and
licensee. Typically, negotiation starts with an expression of interest by a
potential licensee followed by a proposed term sheet prepared by the licensor.
The price of the license will also be influenced by whether the license is for
exclusive or non-exclusive rights, the geographical region, the fields of use
and other considerations.

Does Honeywell assist a licensee in using/adopting a technology?
Yes. Honeywell may agree to assist a licensee to use or adapt a technology. Of
course, that decision will be made on a case by case basis following discussion
between Honeywell and the potential licensee. It is in Honeywell's best interest
for the licensee to be able to utilize licensed technology as fast and
efficiently as possible.

Are you willing to donate technology to a non-profit organization?
Possibly. When development on a Honeywell technology is discontinued due to a
shift in business strategy, we may find that a very productive use for that
embryonic technology is to donate that technology to a non-profit organization.
This process puts the technology in the hands of a competent researcher, usually
at a university, where the development work can be continued. The recipient of
the technology gift may then generate revenues for the institution by licensing
or sale of the technology.

Does sale of a technology mean Honeywell is exiting a business?
Not at all - Honeywell businesses are constantly engaged in the process of
evaluating their current technology programs, in light of their business
strategies. When strategies change, the underlying technology programs must
change also. This shift in research priorities may result in valuable
technologies, which no longer support current business plans, becoming available
for sale.

Yes. Given the right business proposal, our newest and best technology can be
made available. Honeywell retains the right to discontinue discussions just as
parties requesting technology can decide to discontinue discussions at any time.

Can I visit Honeywell for a face-to-face meeting to discuss my technology or need for a technology?
Yes. It is always more cost effective for both parties to begin dialogue by
phone, e-mail, and regular mail before spending time and travel expense to
visit.
